MERCHANDISE AVAILABILITY
Steps 4 Success prides itself in providing exclusive, quality merchandise. Availability of merchandise may vary at Steps 4 Success stores and on STEPS4SS.COM and STEPSFUNDRAISING.COM. Some featured items may be available only in limited quantities or only while supplies last. Once an item is no longer available or out of stock, we may attempt to, respectively, remove the item promptly from display on STEPS4SS.COM and STEPSFUNDRAISING.COM or list it as “out of stock.” Display of an item on STEPS4SS.COM and STEPSFUNDRAISING.COM is not a guarantee that the item is currently available or in stock or that it will be available on our Site when you visit again. Steps 4 Success will make every reasonable effort to display its merchandise on STEPS4SS.COM and STEPSFUNDRAISING.COM as accurately as possible. Unfortunately, various factors, including the display and color capabilities of your computer monitor, may significantly affect what you actually see on your screen. Steps 4 Success is not responsible for the display of any color, texture or detail of its merchandise on your computer screen and cannot guarantee the accuracy thereof. However, if you are dissatisfied with any item you purchase from STEPS4SS.COM and STEPSFUNDRAISING.COM, you can return or exchange it to us. ORDERS, RESELLING, AND PRICE
We reserve the right at any time after receipt of your order to accept or decline your order, or any portion thereof, in our sole discretion, even after your receipt of an order confirmation or after your credit card has been charged. In the event a wholesale or individual product is listed at an incorrect price, we have the right to refuse or cancel orders placed for the product listed at the incorrect price, regardless of whether the order has been confirmed or your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we will issue a credit to your credit card account. In the event we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.
If purchase any item from this Site for resale purpose by you, through any other person or for a fundraising group or individual, you are allowed and committed to resell any item purchased from this Site in the exact same conditions as received within the suggested price range and following all the ethical expectations described ahead. If you are a customer of a fundraising group or individual reselling any of our items, please make sure to carefully inspect and only accept items in good conditions, we usually not audit any authorized reseller group or individual, and so we are not responsable for any damages made after any item is purchased. To make sure how a product is properly offered in good conditions, you may visit our individual product description page where we present details about our packaging, presentation and the correct price range of our products. The prices displayed on the Site are quoted in U.S. dollars and are intended to be valid and effective only in the United States.
RESELLING POLICY AND ETHICAL EXPECTATIONS
Trust is the foundation of Steps 4 Success online store, warehouse and fundraising community. When you partner with our services, we trust you will make wise and informed choices, and so, we expect from you, and sellers who partner with our fundraising products to fulfill the following Ethical Expectations, based in the Direct Sales Association (“DSA”) Code or Ethics standards. First, knowing that there is genuine interest from the group or individual you collaborate with comply with all applicable laws, including safety, labor, and any other partnership laws/agreements. Steps 4 Success representatives may ask to review the fundraising necessities from all members who intent to resell any of our fundraising items, and we may ask to demonstrate the goals, intentions, willingness, and to be transparent about any fundraising necessities and aspirations.
All Steps 4 Success sales are managed and represented directly from our warehouse and support headquarters, we do not audit or approve third-party suppliers other than genuine fundraising groups that fulfill all our Ethical Expectation standards. For a successful supplier-client relationship, we do expect you to consider the following standards when choosing any fundraising cause to work with:
Ethical Expectations when Buying as Fundraising Representatives
• You guarantee that you represent a real fundraising cause and have the authority to enter into agreements on behalf of that group.
• When issued an invoice for an order, you agree to make payment in accordance with the seller’s policies. Non-payment or late payment may result in the suspension or termination of your account and subject you to other collection mechanisms.
• You agree to allow Steps 4 Success and any other fundraising prospect buyer to contact you via phone, email, or Steps 4 Success’s Conversations tool regarding orders you place or products to sell. Not responding to inquiries from Steps 4 Success within seven (7) calendar days may result in the suspension or termination of your account.
• You are solely responsible for collecting and remitting any and all taxes applicable to any sales you make and for requesting and inspecting any documents required for taxes or tax exemptions from Buyers.
• We do not authorize the sales of damage goods.
Ethical Expectations Among Fundraising Teammate Partners
• No child labor or youth labor. Any group or individual you choose to work with should follow all local laws and rules regarding working hours and working conditions for minors.
• No involuntary labor. Groups or individuals should not use involuntary labor, including slave labor, prison labor, indentured labor, or forced labor.
• Humane working conditions. Partner with groups or individuals who provide humane working hours for their collaborators and who do not use any form of physical or psychological coercion or intimidation against their teammates.
• Non-discrimination. There should be no tolerance for discrimination on the basis of age, gender, race, maternity or marital status, nationality or cultural, religious or personal beliefs, disability, sexual orientation, political opinion, or otherwise in relation to hiring, wages, benefits, termination, or retirement.
• Guide/ Walkthrough your Partners. Provide your teammates and partners accurate information about the group’s compensation plan, reselling products, and sales methods.
• Describe the relationship between members and the groups goals in writing.
• Be accurate in any comparisons about products, services or opportunities.
• Refrain from any unlawful or unethical practice.
• Ensure that you are not just buying products solely to qualify for downline commissions.
• Ensure that any materials marketed to you by others in the salesforce are consistent with the company’s policies, are reasonably priced and have the same return policy as the company’s.
• Require you and your group to abide by the requirements of the Code of Ethics.
• Safeguard any private information.
• Provide adequate guide and training to help others operate ethically.
• Base all actual and potential sales and earnings claims on documented facts.
• Encourage you to purchase only the inventory you and your teammates can sell in a reasonable amount of time.
• Have reasonable start-up fees, costs, and compensations.
Ethical Expectations When Reselling
• Identify yourself and your motives. Tell you who they are, why you’re approaching you and what products you are selling.
• Promptly end a demonstration or presentation at your request.
• Provide a receipt with a clearly stated cooling off period permitting the consumer to withdraw from a purchase order within a minimum of three days from the date of the purchase transaction and receive a full refund of the purchase price.
• Explain how to return a product, claim a guarantee and cancel an order.
• Provide promotional materials that contain the address and telephone number of he direct selling fundraising group or individual.
• Provide a written receipt that identifies the group name, cause and salesperson, including contact information for either.
• Respect privacy by calling at a time that is convenient for others.
• Safeguard any private information.
• Provide accurate and truthful information regarding the price, quality, quantity, performance, and availability of products.
• Offer a written receipt in clear understandable language.
• Offer a complete description of any warranty or guarantee.
However, Steps 4 Success cannot guarantee the conditions under which products for resale were made. Steps 4 Success does not currently audit third-party resellers based on labor or other standards, and we do not require resellers to demonstrate that the motives incorporated into their resell process comply with the laws in the country or countries in which such fundraising group or individual do business. Steps 4 Success is not responsible for any fundraising group or individual chosen by final buyers.
Steps 4 Success reserves the right to approve or reject any fundraising application account to join Steps 4 Success wholesale benefits and to refuse service to anyone, for any reason, at any time. All orders on Steps 4 Success wholesale must be placed through the Official Steps 4 Success wholesale purchase order system, unless you have entered into a written contractual agreement with Steps 4 Success to make Steps 4 Success wholesale sales or purchases off the website. INTERNATIONAL VISITORS
We truly value your interest in our Online Store. However, please note that STEPS4SS.COM and STEPSFUNDRAISING.COM can only guarantee shipping to the U.S. at this time. We do, however, encourage our international visitors to contact us because our Customer Service team will evaluate the possibility to ship the product with additional shipping costs.
USER SUBMISSIONS
Any comments, suggestions, ideas, materials and other submissions ("User Submissions") that you send, provide or convey to or on behalf of Steps 4 Success are provided on a non-confidential and non-proprietary basis. JURISDICTION AND APPLICABLE LAW
Our Site is based in the United States of America (“U.S.A.”). If you access this Site from outside the U.S.A., you do so on your own initiative, at your own risk, and accept total responsibility for your conduct. These Terms of Use shall be governed, construed and enforced according to the laws of U.S.A. and the Commonwealth of Puerto Rico, without giving effect to Commonwealth of Puerto Rico’s conflict of laws provisions. You expressly agree that the exclusive jurisdiction for any claim or action arising from or relating to these Terms of Use of this Site shall be in state or federal court located in the Commonwealth of Puerto Rico, U.S.A., and you further agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or action and expressly waive any objection to that venue. You also agree to comply, at your expense, with all applicable local, state, federal and international laws and regulations, including, but not limited to, U.S.A. export restrictions that relate to your use or activities on this Site. To the fullest extent permitted by law, the controlling language, at all times, for these Terms and Conditions is English.

ENTIRE AGREEMENT AND ADMISSIBILITY
These Terms of Use and any policies, statements, notices or operating rules (individually and collectively, starting with the term “Terms of Use”, the “Entire Agreement”) posted on this Site constitute the entire agreement and understanding between you and Steps 4 Success with respect to the subject matter thereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter. A printed version of the Entire Agreement shall be admissible in judicial or administrative proceedings based on or relating to use of the Site to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
MISCELLANEOUS
The waiver of any provision of the Entire Agreement shall not be considered a waiver of any other provision or of Steps 4 Success Inc.’s right to require strict observance of each of the terms herein or therein. If any provision of the Entire Agreement is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect. The Entire Agreement does not create any agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship. Except for the Indemnified Parties, there are no third party beneficiaries of these terms of use. The Entire Agreement is personal to you and you may not transfer, assign or delegate them to anyone without the express written permission of Steps 4 Success. Any attempt by you to assign, transfer or delegate the Entire Agreement without the express written permission of Steps 4 Success will be null and void. Steps 4 Success Inc. have the right to transfer, assign and delegate the Entire Agreement to one or more third parties without your permission.
ACKNOWLEDGEMENT
You acknowledge that the Entire Agreement is supported by reasonable and valuable consideration, the receipt and adequacy of which are hereby acknowledged. Without limiting the generality of the foregoing, you acknowledge that such consideration includes your use of the Site and/or receipt of data, content, materials and information available at or through the Site.
